DILLON LLC TERMS OF SERVICE

IMPORTANT NOTICE: THIS AGREEMENT IS SUBJECT TO BINDING ARBITRATION AND A WAIVER OF CLASS ACTION RIGHTS AS DETAILED IN THE DISPUTE RESOLUTION SECTION.

Dillon LLC (“Dillon LLC”, “we” “our” or “us”) offers smart home, networking, automation, audio/video, security, lighting, IT, monitoring, cloud, and related technology products and services, including embedded software (“Product Software”, and together with the purchased hardware product will be referred to as “Products” herein), related software applications, mobile applications, cloud services, remote support services, subscription services, website applications, and services available through our website (“Site”) located at www.DillonLLC.com (collectively, the “Services”). The Site, applications, software, and subscription services are collectively referred to herein as the “Services”. These Terms of Service (“Terms” or “Agreement”) govern your use of our Products and Services (collectively, the “Dillon LLC System”).

PLEASE READ THE FOLLOWING TERMS VERY CAREFULLY. IF YOU DO NOT AGREE WITH THE FOLLOWING TERMS, DO NOT DOWNLOAD, INSTALL, OR IN ANY WAY ACCESS OR USE THE DILLON LLC SYSTEM. BY DOWNLOADING, INSTALLING OR ACCESSING AND USING THE DILLON LLC SYSTEM, YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY AND CAPACITY TO AGREE AND ACCEPT THESE TERMS AND AGREE WITH AND ACCEPT ALL OF THE FOLLOWING TERMS. These Terms (combined with Privacy Policy and other user agreements in some cases) constitute a binding legal agreement between you and Dillon LLC.

Please read these Terms closely because they contain important information about automatic renewal, a class action waiver, and an arbitration provision, requiring you to arbitrate any claims you may have against Dillon LLC on an individual basis. ARBITRATION ON AN INDIVIDUAL BASIS MEANS THAT YOU WILL NOT HAVE, AND YOU WAIVE, THE RIGHT FOR A JUDGE OR JURY TO DECIDE YOUR CLAIMS, AND THAT YOU MAY NOT PROCEED IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE CAPACITY.

If you do not agree with these Terms, please do not purchase, download, access, or use our Products or Services.

GENERAL

This Agreement in combination with any written limited warranty included in or on Product packaging whether obtained directly from Dillon LLC or an authorized dealer, any Software Support Services Agreement, and our Privacy Policy represents the entire understanding between you and Dillon LLC relating to your purchase or use of the Products and Services and prevails over any prior or contemporaneous, conflicting, or additional communications between you and Dillon LLC. All rights not expressly granted herein are reserved by Dillon LLC.

The term “you,” as used in these Terms, includes any person or entity who downloads software, uses the Services, creates an account, commissions one or more Products, or otherwise accesses or uses the Dillon LLC System (“Owner”), as well as any person or entity allowed or authorized to access or use the Owner’s Products and Services or set up an account on the Owner’s behalf (“Authorized Users”).

You understand and agree that the Dillon LLC System is a service that provides non-time critical information and control over Products and Services, and that the Dillon LLC System is not intended to be 100% reliable or available 100% of the time due to numerous dependencies outside the control of Dillon LLC. Dillon LLC cannot and does not guarantee that you will receive notifications within any given time or at all.

THE DILLON LLC PRODUCTS AND SERVICES ARE NOT A THIRD-PARTY MONITORED EMERGENCY NOTIFICATION SYSTEM. UNDER NO CIRCUMSTANCES WILL DILLON LLC DISPATCH EMERGENCY SERVICES TO YOUR HOME OR CONTACT EMERGENCY SERVICES IN THE EVENT OF AN EMERGENCY. IN NO EVENT SHOULD YOU CONTACT DILLON LLC CUSTOMER SUPPORT IN AN EMERGENCY. YOU ACKNOWLEDGE AND AGREE THAT YOU MUST CONTACT 911 OR OTHER APPROPRIATE LOCAL AUTHORITIES IN THE EVENT OF AN EMERGENCY.

CHANGES TO THESE TERMS AND OUR SERVICES

Dillon LLC may modify, update or supplement these Terms at any time by making updated Terms available on our Site at:

By continuing to use the Products and Services after such changes, you acknowledge and accept the changes and agree to be bound by such revised Terms.

Dillon LLC may suspend or discontinue support for any Product or Service, introduce new features, impose limits on certain features, or restrict access to parts or all of the Services at any time without notice.

YOUR COMPLIANCE WITH THE LAW

You agree that it is your responsibility to comply with all applicable laws and regulations relating to your use of the Products and Services, including laws relating to recording, monitoring, surveillance, biometric data, privacy, and notification requirements.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Dillon LLC, its owners, employees, affiliates, contractors, agents, suppliers, and licensors against any and all claims, damages, liabilities, losses, settlements, judgments, fines, penalties, costs, and expenses arising from your use or misuse of the Products or Services or your violation of these Terms.

UPDATES

Dillon LLC may develop updates, patches, bug fixes, and modifications to improve Products and Services. You agree that such updates may be automatically installed without additional notice or consent.

NO WARRANTY; DISCLAIMERS

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE PRODUCTS AND SERVICES IS AT YOUR SOLE RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, SECURITY, OR NON-INFRINGEMENT.

DILLON LLC DOES NOT GUARANTEE THAT THE PRODUCTS OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DILLON LLC OR ITS AFFILIATES, OWNERS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PRODUCTS OR SERVICES.

IN NO EVENT SHALL DILLON LLC’S TOTAL LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU TO DILLON LLC FOR THE APPLICABLE SERVICES DURING THE PRECEDING TWELVE (12) MONTHS.

GOVERNING LAW

These Terms shall be governed by the laws of the State of California.

DISPUTE RESOLUTION

PLEASE READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS.

YOU AND DILLON LLC AGREE THAT ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THE PRODUCTS, SERVICES, OR THESE TERMS SHALL BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
